Terms of Service

Last updated: September 29, 2026

These Terms of Service form a binding agreement between you and OG VoIP. By creating an account, placing an order or using our Services, you agree to them. If you do not agree, do not use the Services.

1. Definitions

2. Eligibility and account

You must be at least 18 years old and able to enter into a binding contract. The Services are intended for business use. You agree to provide accurate, complete and current registration and billing information, including your legal name, address and, where required by law or by our upstream carriers, identity and business documents (Know-Your-Customer).

You are responsible for all activity on your account, including calls made with your SIP credentials, API keys or extensions, whether or not authorized by you. You must keep your credentials confidential and notify us immediately at contact@ogvoip.com of any suspected unauthorized use.

3. The Services

We will provide the Services described in your Order using commercially reasonable care and skill. We may modify, upgrade or replace features, routes, codecs, carriers or infrastructure at any time, provided the change does not materially reduce the core functionality of a paid Service.

Availability of numbers, destinations and features varies by country and may be subject to local regulation, carrier approval and documentation requirements. Some destinations may be restricted or blocked for fraud-prevention reasons.

4. Customer obligations

5. Fees, billing and payment

Currency. Unless otherwise stated in your Order, all prices are in United States dollars (USD) and exclude applicable taxes, regulatory fees and surcharges, which will be added to your invoice where required.

Recurring fees. Subscription plans and number rentals are billed monthly in advance and renew automatically until cancelled.

Usage. Calls are billed per second unless otherwise specified for a destination, based on our call detail records (CDRs), which are the authoritative record of usage. Rates may change with at least seven (7) days' notice for retail plans; wholesale rate changes follow the notice period stated in your rate deck.

Prepaid accounts. Service may stop when your balance reaches zero. Prepaid credit is non-refundable except where required by law or on termination for our convenience.

Postpaid accounts. Invoices are due within fifteen (15) days of issue. Late amounts may bear interest at 1.5% per month (or the maximum permitted by law, if lower), and we may suspend Services for accounts more than seven (7) days overdue after notice.

Disputes. Billing disputes must be submitted in writing within thirty (30) days of the invoice date with supporting details. Undisputed amounts remain payable on time.

6. Fraud and unauthorized usage

We monitor traffic for abnormal patterns, including international revenue share fraud (IRSF), traffic pumping and credential abuse. We may, without prior notice, block destinations, apply spending limits, suspend an extension, trunk or account, or reject traffic we reasonably believe to be fraudulent or harmful to our network.

Such monitoring is a protective measure and not a guarantee. You remain liable for all charges incurred through your account, including charges resulting from the compromise of your credentials, devices or PBX, except where the fraud was caused by our own negligence.

7. Phone numbers and number porting

Numbers assigned to you are licensed to you for the duration of your Service; you do not acquire ownership of them. We will support porting numbers in and out in accordance with applicable regulation and carrier procedures, provided your account is in good standing. Numbers left unpaid or unused may be reclaimed after notice, subject to applicable rules.

8. Emergency calling (911 / 112) limitations

Important: VoIP emergency calling differs from traditional telephone service. Emergency calls may not be available, may not connect, or may not transmit your correct location if there is a power failure, an internet or network outage, if your device is moved to a new location, or if your account is suspended. Where emergency calling is offered, you must register and keep updated the physical address of each device and inform all users of these limitations. You should maintain an alternative means of reaching emergency services.

To the maximum extent permitted by law, OG VoIP is not liable for any inability to reach emergency services or for any inaccuracy in the location information transmitted.

9. Service levels and maintenance

We target 99.99% monthly availability of our core network. Planned maintenance is scheduled outside business hours where possible and announced in advance. Service credits, if any, are only as set out in a signed service level agreement and are your sole remedy for unavailability. We are not responsible for issues caused by your internet connection, equipment, third-party networks or force majeure.

10. Suspension

We may suspend all or part of the Services immediately if: (a) you breach these Terms or the Acceptable Use Policy; (b) payment is overdue; (c) we suspect fraud or a security compromise; (d) required by law, a regulator or an upstream carrier; or (e) your use threatens the integrity of our network. We will restore Service once the cause is resolved, and recurring fees continue to accrue during a suspension caused by you.

11. Term and termination

Monthly plans continue until cancelled by either party with thirty (30) days' written notice, unless your Order specifies a minimum term. We may terminate immediately for material breach, fraud, illegal use or insolvency. On termination, all outstanding amounts become due and your access to the Services, portals and stored data (including recordings and voicemails) ends. Please export any data you need before termination.

12. Intellectual property

We and our licensors retain all rights in the Services, software, portals, documentation and trademarks, including the OG VoIP name, logo and mascot. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You may not reverse-engineer, resell (unless authorized as a reseller) or create derivative works of the Services.

13. Customer data and privacy

You retain ownership of your content, including call recordings and voicemails. Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf, we act as your processor and will follow your documented instructions; a data processing agreement is available on request.

14. Disclaimer of warranties

Except as expressly stated in these Terms, the Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Services will be uninterrupted, error-free or that every call will connect.

15. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities; and (b) OG VoIP's total aggregate liability arising out of or relating to the Services is limited to the fees you paid to us in the three (3) months preceding the event giving rise to the claim. These limits do not apply to your payment obligations, your indemnity obligations or liability that cannot be limited by law.

16. Indemnification

You will defend, indemnify and hold harmless OG VoIP and its officers, employees and suppliers against any claims, fines, penalties, losses and expenses (including reasonable legal fees) arising from your use of the Services, your content, your violation of these Terms or the Acceptable Use Policy, or your violation of any law or third-party right, including telemarketing and consent laws.

17. Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, governmental action, pandemics, power or internet failures, cable cuts, cyberattacks and failures of third-party carriers. Payment obligations are not excused by force majeure.

18. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except that either party may seek injunctive relief in any competent court. Before starting proceedings, the parties will attempt in good faith to resolve any dispute through negotiation for thirty (30) days.

19. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page with a new "Last updated" date and, for material changes, notify you by email or through your account at least fifteen (15) days in advance. Continued use of the Services after the effective date constitutes acceptance.

20. General

These Terms, together with your Order, the Acceptable Use Policy and the Privacy Policy, form the entire agreement between the parties. If any provision is held unenforceable, the remainder stays in effect. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Notices to us must be sent to contact@ogvoip.com.
